1. Agreement and Provider
These Terms and Conditions (the “Terms”) govern enrollment in The Tax Queen’s Academy (the “Program”), an educational training program offered under the Essentials Tax brand (“Provider,” “we,” “us,” or “our”). The purchaser and participant are referred to as “Student,” “you,” or “your.”
Provider contact: Essentials Tax, 1630 Schiller Ave., Suite 3, Cuyahoga Falls, Ohio 44223. Email: [email protected]. Telephone: 234-239-9399.
2. Program Purpose and Scope
The Program provides educational instruction concerning tax preparation knowledge, tax-business operations, pricing, systems, client experience, and preparation for the 2027 tax season. The specific curriculum, dates, instructors, session format, bonuses, resources, and access period are those stated on the enrollment page, order confirmation, or current Program materials.
The Program is educational only. It does not provide legal advice, individualized tax advice, accounting services, financial advice, employment, a franchise, a business opportunity, guaranteed clients, software unless expressly listed, or a guarantee of PTIN, EFIN, credential, license, continuing-education credit, revenue, profit, or business success.
3. Eligibility and Student Responsibility
You must be at least 18 years old and legally able to enter a contract. You are responsible for determining and satisfying all federal, state, and local requirements applicable to your own tax-preparation activities, including PTIN, EFIN, registration, due-diligence, security, privacy, recordkeeping, advertising, and professional-conduct requirements.
Completion of the Program does not authorize you to prepare returns, represent taxpayers, use a credential, or operate a tax business where separate governmental approval is required.
4. Tuition and Promotional Pricing
Regular tuition is $349. The Labor Day paid-in-full promotional price is $149 when the applicable $200 promotional discount is validly redeemed by 11:59 p.m. Eastern Time on September 13, 2026. The early-bird paid-in-full price is $197 when the applicable $152 discount is validly redeemed by 11:59 p.m. Eastern Time on September 30, 2026. Promotional discounts may not be combined and have no cash value.
Enrollment is not complete until payment is successfully processed. Display of a price, submission of an interest form, clicking a checkout link, or starting checkout does not reserve promotional pricing. Provider may correct obvious pricing or technical errors before accepting an order.
5. Seat Deposit and Remaining Balance
The optional seat-reservation deposit is $49 and is applied toward tuition. A Student who pays the $49 deposit must pay the remaining $148 by 11:59 p.m. Eastern Time on September 30, 2026 to receive the $197 early-bird total tuition.
The $49 deposit does not secure the $149 Labor Day paid-in-full price. If the $148 balance is not paid by the September 30 deadline, the early-bird discount expires, regular tuition of $349 applies, and the remaining balance becomes $300. Program access, attendance, materials, completion recognition, or other benefits may be withheld until all required amounts are paid.
6. Refund and Transfer Policy
This policy applies except when a refund is required by law or Provider expressly agrees otherwise in writing. Failure to attend, scheduling conflicts, dissatisfaction after access, failure to use materials, inability to obtain a credential, or failure to achieve a desired business result does not create a refund right.
The $49 seat deposit is nonrefundable. Before the Program begins, the deposit may be transferred one time as a credit toward another qualifying Essentials Tax course or service. A transfer request must be submitted in writing to [email protected]; the credit must be used within 12 months of the original payment date; it has no cash value; it may not be transferred to another person; and the Student is responsible for any price difference. Unless Provider expressly approves otherwise in writing, paid-in-full tuition and balance payments are not transferable.
7. Payment Authorization, Failed Payments, and Chargebacks
You authorize Provider and its payment processor to charge the payment method submitted for the amount shown at checkout. You are responsible for accurate billing information and any lawful processor or bank fees. A failed, reversed, or disputed payment may result in suspension of access and collection of the unpaid contract balance to the extent permitted by law.
Before initiating a chargeback, contact [email protected] so the parties can attempt to resolve the issue. Nothing in this clause waives rights that cannot lawfully be waived.
8. Delivery, Schedule, Recordings, and Access
The Program includes live virtual instruction and may include session replays, downloadable materials, and membership-portal access as described in Program communications. You are responsible for the device, internet connection, compatible software, email access, and timely attendance needed to participate.
Provider may reasonably change instructors, session order, technology, curriculum details, or dates. If Provider cancels the Program entirely and does not offer a substantially comparable rescheduled delivery or credit accepted by the Student, Provider will refund amounts paid for the canceled Program. Provider is not responsible for Student-side technology failures or missed communications caused by inaccurate contact information, spam filtering, or failure to check messages.
Any replay or portal access is available only for the period stated in Program communications. Unless expressly promised in writing, lifetime access is not included.
9. Intellectual Property and Limited License
All Program videos, replays, slides, workbooks, templates, prompts, examples, systems, graphics, trademarks, and other materials are owned by or licensed to Provider and are protected intellectual property. Provider grants you a limited, personal, revocable, nonexclusive, nontransferable license to use purchased materials for your own education and internal business operations.
You may not copy, reproduce, upload, sell, sublicense, share login credentials, distribute materials to staff or clients, teach or create a competing course from the materials, remove ownership notices, or use The Tax Queen’s Academy, The Tax Queen™, Essentials Tax, or related branding without written permission.
10. Confidentiality, Recording, and Community Conduct
You may encounter confidential business information or personal experiences shared by Provider or other participants. You agree not to disclose another participant’s nonpublic information without permission. You may not audio-record, video-record, screenshot, transcribe, livestream, or redistribute Program sessions or community content without written authorization.
Students must communicate professionally and may not harass, threaten, discriminate, solicit without permission, disrupt sessions, impersonate others, compromise security, or misuse community contact information. Provider may remove or suspend a Student for material or repeated misconduct. Removal for misconduct does not entitle the Student to a refund.
11. Accuracy, Professional Judgment, and Updates
Tax laws, administrative guidance, software, and industry practices change. Program materials reflect information available when presented and may later become outdated. Examples are simplified for education and may not apply to a particular taxpayer or business.
You remain solely responsible for researching current authority, exercising professional judgment, performing due diligence, protecting taxpayer data, reviewing all returns and advice, and obtaining legal or other professional guidance when appropriate.
12. Earnings and Results Disclaimer
No earnings, revenue, client-count, refund, financing, or business-performance result is promised or guaranteed. The $15,000 illustration is based on 30 completed and paid tax returns averaging $500 in gross preparation revenue per return. It is an educational gross-revenue model, not a prediction or representation of typical or guaranteed results.
Actual results depend on many factors outside Provider’s control, including experience, effort, pricing, services, marketing, client acquisition, return completion, refunds, chargebacks, expenses, legal compliance, market conditions, and individual business performance. Testimonials, if used, represent individual experiences and are not guarantees that others will achieve similar results.
13. Third-Party Services
The Program may mention or demonstrate third-party software, payment processors, tax software, websites, or services. Unless expressly stated, third-party products are not included in tuition. Provider does not control their pricing, availability, security, policies, performance, or continued operation. Your use of a third-party service is governed by that provider’s terms.
14. Disclaimers and Limitation of Liability
To the fullest extent permitted by law, the Program and materials are provided for educational purposes on an “as available” basis without warranties of uninterrupted access, error-free operation, fitness for a particular purpose, or a specific result. Provider does not exclude any warranty or remedy that cannot legally be excluded.
To the fullest extent permitted by law, Provider will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from participation or use of Program information. Provider’s aggregate liability for a claim relating to the Program will not exceed the amount actually paid by the Student for the Program, except where a different remedy is required by law.
15. Governing Law and Dispute Resolution
These Terms are governed by Ohio law, without regard to conflict-of-law principles. Before filing a claim, the parties agree to send written notice describing the dispute and requested resolution and to allow 30 days for a good-faith informal resolution attempt. Notices to Provider must be sent to [email protected] and the business address listed above.
If the dispute is not resolved, the parties consent to the state or federal courts with proper jurisdiction serving Summit County, Ohio, except where applicable law gives a consumer the right to proceed elsewhere. Nothing in these Terms prevents either party from seeking lawful small-claims relief or urgent injunctive relief concerning misuse of intellectual property or confidential information.
16. Electronic Communications and Acceptance
You consent to receive transaction-related communications electronically at the email address or telephone number provided, subject to applicable law. Marketing text-message consent is not a condition of purchase unless separately stated and obtained.
Checking the agreement box and submitting payment constitutes your electronic signature and acceptance of these Terms. You should download or print a copy for your records.
17. General Terms
These Terms, the checkout description, and any incorporated Program policies form the agreement regarding enrollment. If a direct conflict exists, a written term specifically stated at checkout for the purchased option controls over a general term here. Changes are effective prospectively when posted or communicated, except material changes to an accepted purchase require notice and will not retroactively reduce vested rights.
If any provision is unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign your enrollment or rights without written permission. Provider may assign the agreement in connection with a lawful business transfer. Headings are for convenience only.
